A Certificate of Good Standing is an official document issued by the Secretary of State’s Office within the state of incorporation and is used to verify that an incorporated entity or LLC is in “good standing.”

A Certificate of Good Standing is also referred to as a Certificate of Existence, Certificate of Authorization of Certificate of Status.

When will you need a Certificate of Good Standing?

There are certain business scenarios in which you may required to provide a Certificate of Good Standing.

  • Additional Corporate Filings such as a registering to conduct business in another state referred to as a Foreign Qualification or Foreign Registration
  • Business Funding
  • Additional Financial Transactions
  • Investors

The Certificate of Good Standing will confirm compliance including:

  • State fees are up to date
  • Annual Report has been filed
  • Franchise Tax has been paid
