Understanding Incorporation

Incorporating means creating a structure for your business; creating a legal business entity; thus, setting it apart from an individual owner. Whether you choose to form an LLC, Corporation, or S-Corp., there are many benefits to incorporation.

Asset Protection – Separation and protection of business and personal assets for business owners. Personal assets are protected.

Tax Benefits – Tax flexibility and benefits including pass through taxation depending on the type of entity formed.

Credibility – Incorporating brings credibility and legitimacy to the business.

Name Protection – In most states, the business name is protected at the state level. Another business can not incorporate under an already incorporated entity.

Perpetual Existence – Incorporated entities can exist indefinitely regardless of change of Directors, Shareholders, or Officers.

Which type of entity you would like to form

Limited Liability Company (LLC)
An LLC gives you the protection of a corporation and the tax benefits of a sole proprietor or partnership.  An LLC is also less formal than a corporation.

C-Corporation
A Corporation is a separate business entity which protects its owners from company debts.  A corporation has limited liability for its directors, officers, and shareholders.  A corporation attracts investors through sale of shares of stock.

S-Corporation
The S-Corp provides the special benefit and protection of a corporation but allows for the income to pass through to the shareholders, eliminating double taxation. After the corporation is filed at the state level, the S-Corp is filed by submitting Form 2553 with the Internal Revenue Service.

NonProfit Corporation
A nonprofit corporation is created for other purposes than making a profit.  In most cases, a few examples of nonprofit corporations are charitable organizations, churches, and clubs.
