What is dissolution?

Businesses may choose to file a dissolution for different reasons.

Certain business scenarios may dictate the need to file a dissolution including:

  • Going out of business
  • New business ventures
  • Shareholders may want to liquidate

Regardless of the reason, Corporations and LLCs that are no longer transacting businesses must properly file a Certificate of Dissolution (Corporations) or a Certificate of Cancellation (LLCs) to terminate their entities.

This includes paying the appropriate filing fees with the Secretary of State of formation.

Depending on the state of formation there may be additional requirements including obtaining tax clearance and paying any outstanding state taxes.
